LA ACCESORIEDAD DE LA FIANZA Translated title: THE GUARANTEE'S DEPENDENCE OF THE UNDERLYING CREDIT

Abstract

Las profundas transformaciones que experimenta la garantía personal del crédito parecen cuestionar el carácter accesorio de la fianza; aspecto este que en la tradición jurídica occidental siempre se ha considerado su fundamento último. La meritada crisis del principio de accesoriedad de la fianza nos brinda una oportunidad única para aclarar el papel que ésta juega en la actualidad, su eficacia, así como sus límites y excepciones. Este artículo propone una construcción unitaria de la garantía personal del crédito sobre la base del principio de accesoriedad. Solo la comprensión cabal del modus operandi de la accesoriedad en la fianza permite replantear correctamente, desde una perspectiva enteramente nueva y original, otras instituciones centrales del derecho de obligaciones como son la solidaridad, la novación y los efectos del pago de tercero.

Translated abstract

The deep transformations experienced by personal credit guarantees seem to call into question its link to the main contract which, in the Western legal tradition has always been considered its ultimate foundation. The aforementioned crisis of the link between the guarantee and the main contract gives us a great opportunity to shed light on its present role, its efficacy, as well as its limits and exceptions. This paper puts forward a unitarian understanding of personal credit gurarantees, on the basis of the principle that guarantees are linked to the main contract. Only a correct understanding of the way the link between guarantee and the main contract works enables us to redefine correctly, from a completely new and original perspective, other key concepts of contract law, such as joint liability, novation and payment by a third party.
